🤝 Affiliate Agreement

1. Agreement and Acceptance

This Affiliate Agreement (“Agreement”) governs your participation in the Gigpeach affiliate/referral program (the “Program”). It supplements the Gigpeach Terms of Use, Privacy Policy, Refund Policy, and Acceptable Use Policy, which are incorporated by reference. By enrolling as an affiliate, checking the box to accept this Agreement, or earning or accepting any commission, you agree to this Agreement. If you do not agree, do not enroll and do not participate.

2. Independent Contractor; No Employment

You participate as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, joint-venture, or franchise relationship. You have no authority to bind Gigpeach, to make representations on its behalf, or to incur obligations in its name. You are solely responsible for your own expenses, equipment, conduct, and taxes.

3. Eligibility

You must be at least eighteen (18) years old, provide accurate registration and payout information, and have a valid payout method (a verified PayPal account and/or a completed Stripe Connect onboarding). Where required by U.S. tax rules, you must provide accurate tax information (see Section 8). Gigpeach may decline, suspend, or remove any affiliate at its discretion, including for incomplete verification, suspected fraud, or violation of this Agreement or applicable law.

4. Enrollment and Sponsorship

Affiliate membership is by enrollment through a Gigpeach storefront or referral link, or by administrative placement. Each affiliate account receives a permanent referral code and storefront. When you enroll through another affiliate's link, that affiliate becomes your sponsor. Sponsorship follows a “first-sponsor-wins” rule and is permanent, except that Gigpeach may reassign or transfer placement under its published inactivity/dormancy policy, to correct errors, to prevent abuse, or as otherwise required. Only enrolled affiliates may sponsor others or earn commissions; a person who merely purchases a ticket is a customer, not an affiliate, until they separately enroll and accept this Agreement.

5. Commissions — How You Earn

You may earn commissions only on genuine, completed, paid ticket and sponsor-ad sales that are attributed to your referral link or storefront and that clear all applicable holding and refund periods. Commissions are funded from the producer's retail margin, not from Gigpeach's platform fee, and are paid according to the current commission schedule shown in your affiliate panel, which may include multiple levels (for example, the direct seller and a limited number of upline sponsors). Gigpeach may set, change, or discontinue commission rates, levels, qualification requirements, and eligible products prospectively. Key rules:

Commissions are earned on real sales of Gigpeach event access and sponsor ads — not for enrolling or recruiting other affiliates, and not for the mere act of joining.

You do not earn a commission on your own purchases.

A sale that is refunded, reversed, charged back, voided, or found fraudulent earns no commission and is subject to clawback (Section 9).

Gigpeach's records and calculations are the authoritative basis for commissions. Tracking depends on cookies, links, and attribution logic that may not capture every sale.

6. No Income Guarantee; Not a Business Opportunity

Participation is free and requires no purchase, inventory, or minimum spend. Gigpeach makes no promise, guarantee, or representation that you will earn any particular amount, or any amount at all. Any figures shown in the platform reflect your own actual activity and are not projections. Your results depend entirely on your own effort, skill, audience, and the genuine sales you generate. You must not make, and Gigpeach does not authorize, any earnings claims, income projections, or “get rich” representations. The Program rewards real product sales; it is not a pyramid, chain, or money-making scheme, and compensation for recruitment apart from genuine sales is prohibited.

7. Payouts, Holds, and Reputation

Commissions accrue as pending and become payable only after the related event has occurred and any applicable holding period has passed. Gigpeach uses a reputation/“Trust Score” model that may lengthen or shorten payout holds based on account history, refunds, chargebacks, and risk signals, and may place, extend, or release holds to manage fraud and financial risk. Payouts are made to your PayPal account or, if you complete Stripe Connect onboarding, to your bank via Stripe. Gigpeach may set minimum payout thresholds, batch payouts, and withhold or offset payouts against clawbacks, negative balances, chargebacks, fees, or suspected fraud. Payouts require a verified payout method and, where applicable, completed tax information.

8. Taxes and Tax Forms

You are solely responsible for all taxes on amounts you earn. When your compensation for a calendar year reaches the U.S. reporting threshold (currently US$600, or as the IRS may set it), you must provide a valid IRS Form W-9 (or, for non-U.S. persons, the applicable form) before further payouts are released; Gigpeach will pause payouts until it is on file. Gigpeach will issue the corresponding information return (for example, Form 1099-NEC) as required, or, for payouts routed through Stripe Connect, tax reporting may be handled by Stripe. Your taxpayer identification number is stored encrypted and used only for tax reporting (see Privacy Policy).

9. Refunds, Chargebacks, and Clawbacks

If a sale on which you earned (or were credited) a commission is later refunded, reversed, charged back, voided, or determined to be fraudulent or in violation of policy, the associated commission is forfeited and may be clawed back from your pending balance, future commissions, or otherwise recovered. Repeated refunds or chargebacks attributable to your referrals may reduce your Trust Score, lengthen holds, or result in suspension.

10. Buyer Information and Confidentiality

To help you service the sales you generate, Gigpeach may make limited buyer contact information — such as the buyer's name and email address and the details of that transaction — visible to you for sales credited to you and, in a multi-level chain, to a buyer's upline sponsors. This information is confidential and is provided solely for legitimate purposes related to Gigpeach events. You agree that you will: (a) keep it confidential and secure; (b) use it only for lawful follow-up related to Gigpeach events; (c) comply with all applicable privacy and anti-spam laws (including the CAN-SPAM Act), provide required sender identification and unsubscribe mechanisms, and promptly honor opt-out requests; and (d) never sell, rent, license, publish, transfer, or use this information for unrelated marketing, spam, harassment, or any unlawful purpose. Misuse of buyer information is a material breach and may result in immediate termination, forfeiture of commissions, and liability for resulting harm.

11. Marketing Conduct and Prohibited Practices

You must promote Gigpeach honestly and lawfully. You may not: send spam or unsolicited bulk messages; make false, deceptive, or misleading statements (including about earnings, endorsements, or event content); impersonate Gigpeach, a producer, or another person; bid on or misuse Gigpeach trademarks or domains in a deceptive way; use cookie-stuffing, forced clicks, malware, bots, incentivized-click schemes, or other artificial or fraudulent attribution; self-refer or create fake accounts or sales; promote on sites or channels involving illegal content, adult content, hate, or infringement; or violate any third-party platform's rules. Where you promote Gigpeach, you must clearly and conspicuously disclose your affiliate/material connection as required by the FTC.

12. Intellectual Property and Brand Use

Gigpeach grants you a limited, non-exclusive, revocable license to use Gigpeach-provided names, logos, links, and marketing materials solely to promote the Service in accordance with this Agreement and any brand guidelines. You may not modify the marks, use them to disparage Gigpeach, or imply endorsement, partnership, or employment. All goodwill from your use inures to Gigpeach. This license ends when your participation ends.

13. Suspension and Termination

Either party may end your participation at any time. Gigpeach may suspend or terminate your account, withhold or forfeit unpaid or improperly earned commissions, reverse attributions, and remove your storefront for any violation of this Agreement or applicable law, for fraud or abuse, or to protect the Service, users, or third parties. On termination, your license to use Gigpeach marks ends and you must stop promoting the Service and cease using any buyer information. Sections that by their nature should survive (including 8, 9, 10, 12, 14, 15, and 16) survive termination.

14. Disclaimers; Limitation of Liability; Indemnity

The Program and the Service are provided “as is” and “as available” without warranties of any kind to the maximum extent permitted by law. To the maximum extent permitted by law, Gigpeach is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages, and Gigpeach's total liability arising out of or relating to the Program will not exceed the total commissions paid to you in the six (6) months preceding the event giving rise to the claim. You will indemnify and hold Gigpeach harmless from claims, losses, and expenses arising from your promotional activities, your use or misuse of buyer information, your breach of this Agreement, or your violation of law or third-party rights.

15. Changes to this Agreement

Gigpeach may update this Agreement and the commission schedule from time to time. Material changes take effect when posted or when we otherwise notify you, and we may require you to re-accept the current version. The version you accept is recorded. Your continued participation after an update constitutes acceptance of the updated Agreement.

16. Governing Law and Disputes

This Agreement is governed by the laws of the State of [governing state], without regard to conflict-of-laws rules, and any dispute will be resolved as set out in the Gigpeach Terms of Use (including any arbitration, venue, and class-action-waiver provisions there). If any provision is unenforceable, the remainder stays in effect.
